Cross-border M&A and technology transactions
Transactional advisory on mergers, acquisitions, joint ventures, and private equity investments across multiple jurisdictions, with a focus on technology companies and on deals where software or IP is a principal asset: who owns it, including code built with AI tools or open-source components, and the representations that depend on it. Buy-side and sell-side mandates in CEE. Clients include technology companies, regulated industries, and aviation sector participants.
Defence, security, aviation & dual-use procurement
Strategic and transactional counsel on military, defence and security contracts, including the largest helicopter procurement programmes in Poland — with eighteen years of experience in the aviation sector. Work covers the full lifecycle: tender preparation, protest proceedings, contract execution, and challenging procurement frameworks designed to favour a single platform. Experience includes the Caracal and Border Guard helicopter programmes and advice on forming a consortium for the Tigre programme.
High-stakes litigation
Litigation strategy in complex proceedings before Polish courts, the National Appeals Chamber, and EU institutions. Experience includes cases involving public funds, EU-level administrative disputes, and constitutional challenges, among them a Frontex matter before the EU General Court that was resolved before the hearing.
How I work
Some matters are won before they reach the courtroom or the evaluation committee. I design litigation and transactional strategy with the full timeline in mind — including proceedings that will unfold over years. This means structuring positions, building the record, and making decisions early that create options later.
A security procurement dispute resolved before it escalated. A public funds case where the strategic framework set in 2023 produced a favourable outcome in 2025. The work that matters most is often invisible by the time the result appears.
My practice is AI-augmented, and AI also changes what I check in transactions: for example, who owns code written with AI tools. I built iuriq, a legal research and document analysis tool, and use it in my own work: faster research, more rigorous document review, less time on tasks that do not require legal judgment.

Bio
Krzysztof Wójcik is an independent lawyer based in Warsaw with over twenty years of experience in M&A, defence & security procurement, cross-border transactions, and high-stakes litigation.
He has advised on some of the largest military and security procurement proceedings in Poland, including the Caracal helicopter tender and the Border Guard helicopter programme, and on forming a consortium for the Tigre programme. He has represented clients in proceedings before Polish courts, the National Appeals Chamber, and EU institutions. His clients have included major aerospace and defence industry participants, multinational corporations, and technology companies.
He is Director of Legal Advisory and Client Services at Vistra Poland and runs an independent practice. Previously he was partner at Brillaw Mikulski & Partners and Lawards Sulej & Wójcik. He holds bar admission from OIRP Lublin and a law degree from Maria Curie-Skłodowska University.
He built iuriq, a legal research and document analysis tool used in his practice, and has published on IP risk in software M&A transactions and on the governance of multi-agent AI systems.
